Please read these Terms of Service ("Terms") carefully before accessing or using the Gate 64 website or any services offered by Gate 64. These Terms constitute a legally binding agreement between you and D2N2 LLC, doing business as Gate 64. By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access or use the Service.

1. INTRODUCTION AND ACCEPTANCE OF TERMS

1.1 By accessing or using the Gate 64 website located at www.playpoker-now.com (the "Website"), or any products, features, content, or services offered by Gate 64 (collectively, the "Service"), you agree to be bound by these Terms of Service, all applicable laws, and all conditions or policies referenced herein.

1.2 For purposes of these Terms, the following definitions shall apply:

●     "Service" means the Gate 64 website located at www.playpoker-now.com, including all content, features, functionality, and services offered on or through the Website.

●     "User" or "You/Your" means any individual or entity that accesses or uses the Service.

●     "We," "Us," or "Our" means Gate 64, operated by D2N2 LLC, a limited liability company organized in the State of North Carolina, with its principal place of business in Raleigh, North Carolina.

●     "Content" means all text, graphics, images, logos, trademarks, audio, video, software, data, and other materials displayed on, available through, or otherwise relating to the Service.

●     "Platform" means the technological infrastructure, systems, and tools used to deliver the Service, including third-party integrations.

1.3 Gate 64 reserves the right, at its sole discretion, to modify, update, or revise these Terms at any time. Any changes to these Terms will be effective immediately upon posting of the revised Terms on the Website. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically for updates. The date of the most recent revision will be indicated at the top of this document.

2. ELIGIBILITY AND AGE RESTRICTIONS

2.1 You must be at least eighteen (18) years of age to access or use the Service. By accessing or using the Service, you represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into these Terms.

2.2 Gate 64 reserves the right, at any time, to request proof of age from any User. Acceptable forms of proof include, but are not limited to, a government-issued photo identification document.

2.3 If Gate 64 determines, in its sole discretion, that a User does not meet the minimum age requirement, Gate 64 reserves the right to immediately suspend or terminate such User's account and access to the Service without notice or liability.

3. USER ACCOUNTS AND RESPONSIBILITIES

3.1 If you create an account on the Service, you are responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to accept responsibility for all activities that occur under your account.

3.2 You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete.

3.3 You are solely responsible for all activity that occurs under your account, whether or not you have authorized such activity. You agree to notify Gate 64 immediately of any unauthorized use of your account or any other breach of security.

3.4 You agree not to engage in any of the following prohibited conduct while using the Service:

●     Harassing, threatening, intimidating, or bullying any other User or third party;

●     Engaging in fraud, misrepresentation, or deceptive practices;

●     Attempting to gain unauthorized access to the Service, other User accounts, or any computer systems or networks connected to the Service;

●     Distributing viruses, malware, spyware, or any other harmful or malicious code;

●     Impersonating any person or entity, or falsely representing your affiliation with any person or entity;

●     Violating any applicable federal, state, local, or international law or regulation;

●     Encouraging or facilitating any of the foregoing activities.

3.5 Gate 64 reserves the right, in its sole discretion, to suspend or terminate any User's account, refuse service, or restrict access to the Service for any violation of these Terms or for any other reason deemed appropriate by Gate 64, with or without prior notice.

4. WEBSITE USAGE RULES

4.1 You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall comply with all applicable laws, rules, and regulations in connection with your use of the Service.

4.2 You shall not interfere with or disrupt the Service, its servers, or the networks connected to the Service. You shall not attempt to probe, scan, or test the vulnerability of the Service or any related system or network, or breach any security or authentication measures.

4.3 You shall not use any automated means, including but not limited to robots, spiders, scrapers, crawlers, or data mining tools, to access, collect, or extract data from the Service without the prior written permission of Gate 64.

4.4 You shall not upload, post, transmit, or otherwise make available any content that is harmful, threatening, abusive, defamatory, obscene, offensive, or otherwise objectionable, or that violates any applicable law or the rights of any third party.

4.5 Gate 64 reserves the right, at any time and without prior notice, to modify, suspend, or discontinue any part of the Service, temporarily or permanently, for any reason. Gate 64 shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

5. INTELLECTUAL PROPERTY

5.1 All Content on the Service, including but not limited to text, graphics, logos, trademarks, trade names, images, audio, video, software, and other materials, is the property of Gate 64, D2N2 LLC, or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5.2 You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content on the Service without the prior written consent of Gate 64, except as follows:

●     Your computer or device may temporarily store copies of such Content in RAM incidental to your accessing and viewing the Content;

●     You may store files that are automatically cached by your web browser for display enhancement purposes;

●     You may print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

5.3 If you submit, post, or otherwise make available any content through the Service ("User Content"), you hereby grant Gate 64 a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with the Service and Gate 64's business operations. You represent and warrant that you own or have the necessary rights to grant this license.

6. THIRD-PARTY SERVICES AND HIGHLEVEL INTEGRATION

6.1 Gate 64 utilizes HighLevel (GoHighLevel) as its customer relationship management (CRM) and marketing automation platform. HighLevel facilitates various functions on behalf of Gate 64, including but not limited to:

●     Email communications and marketing campaigns;

●     SMS and text message communications;

●     Appointment scheduling and reminders;

●     Marketing workflows and automations;

●     Contact and lead management.

6.2 By using the Service, you acknowledge and agree that certain personal data you provide — including but not limited to your name, email address, and phone number — may be processed through and stored on the HighLevel platform. Such data processing is conducted in accordance with HighLevel's own Terms of Service and Privacy Policy, which are available on HighLevel's website.

6.3 Gate 64 is not responsible for the practices, policies, actions, or omissions of HighLevel or any other third-party service providers. Gate 64 makes no representations or warranties regarding the security, reliability, or availability of any third-party platform.

6.4 The Service may contain links to third-party websites, applications, or services. Such links are provided for convenience and informational purposes only and do not constitute an endorsement, sponsorship, or recommendation by Gate 64. Gate 64 has no control over the content, privacy policies, or practices of any third-party sites or services and assumes no responsibility therefor. You access third-party sites at your own risk.

7. DISCLAIMERS

7.1 THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GATE 64 AND D2N2 LLC DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

7.2 GATE 64 DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. GATE 64 DOES NOT WARRANT THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.

7.3 NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM GATE 64 OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

7.4 GATE 64 DISCLAIMS ANY AND ALL RESPONSIBILITY OR LIABILITY FOR THE ACCURACY, CONTENT, COMPLETENESS, LEGALITY, RELIABILITY, OR AVAILABILITY OF INFORMATION OR MATERIAL DISPLAYED ON OR ACCESSIBLE THROUGH THE SERVICE.

8. LIMITATION OF LIABILITY

8.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GATE 64, D2N2 LLC, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT GATE 64 HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

8.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF GATE 64 AND D2N2 LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO GATE 64 DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

8.3 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE LIMITATIONS SET FORTH ABOVE MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICE.

9. INDEMNIFICATION

9.1 You agree to indemnify, defend, and hold harmless Gate 64, D2N2 LLC, and their respective officers, directors, employees, agents, licensors, affiliates, successors, and assigns from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

●     Your access to or use of the Service;

●     Your violation of these Terms;

●     Your violation of any applicable law, rule, or regulation;

●     Your violation of any rights of a third party, including but not limited to intellectual property rights, privacy rights, or publicity rights;

●     Any User Content you submit, post, or otherwise make available through the Service;

●     Any activity under your account, whether or not authorized by you.

9.2 Gate 64 reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Gate 64 in asserting any available defenses.

10. PRIVACY

10.1 Gate 64 collects and processes personal information as described in its Privacy Policy. The Privacy Policy is incorporated into and made a part of these Terms by reference.

10.2 Information collected by Gate 64 may include, but is not limited to:

●     Personal identifiers such as name, email address, and phone number;

●     Account and profile information;

●     Usage data, including pages visited, features accessed, and interaction data;

●     Device and browser information, including IP address, operating system, and browser type;

●     Cookies and similar tracking technologies.

10.3 By accessing or using the Service, you consent to the collection, use, processing, and sharing of your personal information as described in the Privacy Policy and these Terms. You acknowledge that your information may be processed through third-party platforms, including HighLevel, as described in Section 6 of these Terms.

11. SMS MESSAGING TERMS AND CONDITIONS

The following terms and conditions apply specifically to Gate 64's SMS messaging program. By opting in to receive text messages from Gate 64, you agree to the terms set forth in this Section 11.

11.1 Program Description

Gate 64 offers an SMS messaging program designed to deliver promotional messages, event updates, appointment reminders, special offers, and transactional notifications to opted-in Users. Messages are sent via the HighLevel (GoHighLevel) platform using Application-to-Person (A2P) 10DLC compliant messaging channels.

Program Summary: Gate 64 SMS Alerts — Receive updates, promotions, event info, and appointment reminders from Gate 64.

11.2 Consent and Opt-In

11.2.1 By providing your phone number and affirmatively opting in — whether via a web form, keyword text message, point-of-sale interaction, or other opt-in mechanism — you provide your prior express written consent under the Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227, and applicable Federal Communications Commission (FCC) regulations, to receive autodialed and/or prerecorded marketing and informational text messages from Gate 64 at the mobile telephone number you have provided.

11.2.2 Consent to receive text messages is not a condition of purchasing any goods or services from Gate 64 or D2N2 LLC.

11.2.3 In accordance with the FCC's one-to-one (1:1) consent rule, effective January 27, 2025, your consent is specific to Gate 64 and cannot be shared with, transferred to, or used by any third party. Your opt-in authorizes only Gate 64 to send you text messages.

11.2.4 Sample Opt-In Disclosure Language:

"By providing your phone number and checking this box, you agree to receive recurring marketing and informational text messages from Gate 64, including promotions, event updates, and appointment reminders. Message frequency varies. Message and data rates may apply. Reply STOP to opt out. Reply HELP for help. Consent is not required to make a purchase."

11.3 Message Frequency

Message frequency varies based on User interactions, events, and promotional schedules. Users may receive up to approximately ten (20) messages per month, though actual frequency may vary. Gate 64 reserves the right to adjust message frequency at its discretion.

11.4 Opt-Out Instructions

11.4.1 You may opt out of the SMS messaging program at any time by replying with any of the following keywords to any message received from Gate 64:

●     STOP

●     UNSUBSCRIBE

●     CANCEL

●     END

●     QUIT

11.4.2 Upon receipt of your opt-out request, you will receive a single confirmation message acknowledging your request. No further messages will be sent to you unless you subsequently re-opt in to the program.

11.4.3 Opt-out requests are processed immediately.

11.4.4 You may also opt out of the SMS messaging program by contacting Gate 64 directly:

11.5 HELP and Support

11.5.1 You may text HELP to any message received from Gate 64 at any time to receive assistance.

11.5.2 Upon texting HELP, you will receive the following response:

"Gate 64 SMS Alerts. For help, contact [email protected] or call 336-403-9431. To opt out, reply STOP."

11.5.3 Additional support and information is available at www.playpoker-now.com.

11.6 Message and Data Rates

Standard message and data rates may apply depending on your mobile carrier and wireless plan. Gate 64 is not responsible for any fees or charges imposed by your mobile carrier in connection with the receipt of text messages from Gate 64. Please contact your wireless carrier for information regarding your messaging plan and applicable charges.

11.7 Carrier Disclaimer

11.7.1 Wireless carriers, including but not limited to AT&T, T-Mobile, Verizon, and other participating carriers, are not liable for delayed or undelivered messages.

11.7.2 Message delivery is subject to effective transmission by the User's mobile carrier. Gate 64 does not guarantee message delivery and shall not be responsible for messages that fail to send, are delayed, or are otherwise undelivered due to carrier network issues, device incompatibility, or other factors beyond Gate 64's control.

11.8 TCPA Compliance

11.8.1 Gate 64 fully complies with the Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227, and all applicable regulations promulgated by the Federal Communications Commission (FCC).

11.8.2 Marketing and promotional text messages are sent only to Users who have provided prior express written consent as defined under the TCPA and applicable FCC orders.

11.8.3 Gate 64 maintains records of all opt-in consent, including the timestamp, source, and method of consent for each User.

11.8.4 Gate 64 honors all opt-out requests immediately and maintains a suppression list of Users who have opted out. Users on the suppression list will not receive further messages unless they subsequently re-opt in.

11.9 CTIA Compliance

11.9.1 Gate 64 adheres to the CTIA Messaging Principles and Best Practices for all SMS messaging campaigns.

11.9.2 All messaging campaigns operated by Gate 64 comply with CTIA content standards, including prohibitions on SHAFT content (Sex, Hate, Alcohol, Firearms, Tobacco) where applicable to the messaging use case.

11.9.3 Proper opt-in, opt-out, and HELP functionality is implemented and maintained in full compliance with CTIA guidelines.

11.10 A2P 10DLC Compliance

11.10.1 Gate 64's SMS messaging campaigns are registered with The Campaign Registry (TCR) as required for Application-to-Person (A2P) 10DLC messaging in the United States.

11.10.2 Brand registration and campaign use cases have been properly vetted and approved by applicable wireless carriers in accordance with 10DLC program requirements.

11.10.3 Gate 64 operates in full compliance with carrier-specific requirements for 10DLC messaging, including the guidelines and policies of AT&T, T-Mobile, Verizon, and other participating carriers.

11.11 Privacy and Data Protection for SMS

11.11.1 Phone numbers collected for the SMS messaging program are used solely for the stated purpose of delivering text messages as described in this Section 11. Phone numbers are not sold, rented, or shared with third parties for their own marketing purposes.

11.11.2 SMS opt-in data and consent records are not shared with third parties, except as strictly necessary for message delivery — specifically through the HighLevel platform and applicable carrier networks.

11.11.3 All personal data collected in connection with the SMS messaging program is handled in accordance with Gate 64's Privacy Policy and all applicable federal and state data protection laws.

11.12 Supported Carriers

The Gate 64 SMS messaging program is supported on all major United States wireless carriers, including but not limited to:

●     AT&T

●     T-Mobile

●     Verizon

●     Sprint (now part of T-Mobile)

●     U.S. Cellular

Carrier support is subject to change without notice. Gate 64 does not guarantee compatibility with all carriers or devices.

12. GOVERNING LAW AND DISPUTE RESOLUTION

12.1 These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions.

12.2 Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be resolved through binding arbitration administered in Wake County, North Carolina, in accordance with the rules and procedures of the American Arbitration Association (AAA). The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU HEREBY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST GATE 64 OR D2N2 LLC.

12.4 Notwithstanding the foregoing, Gate 64 reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of Gate 64's intellectual property rights or other proprietary rights.

13. SEVERABILITY

If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

14. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any other legal notices, policies, or agreements published by Gate 64 on the Service, constitute the entire agreement between you and Gate 64 regarding your use of the Service. These Terms supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and Gate 64's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
